  • Administrative Support: Providing additional legal and operational resources.
  • Licensed or Regulated Services: Some offerings may involve an independent licensed professional or another third party. Their professional work, if any, is governed by the scope, relationship, and separate terms disclosed for that engagement. Purchasing an administrative service from CorpifyInc does not by itself create an attorney-client, accountant-client, or other professional relationship with CorpifyInc.

All Services are provided on an "as is" and "as available" basis. We make no guarantees regarding the uninterrupted, error-free, or secure operation of the Services. We also do not guarantee any specific outcomes, business results, or government approvals.

6. No Legal Advice

CorpifyInc is not a law firm or accounting firm and does not provide legal representation or individualized legal, tax, or accounting advice. Use of our Services does not create an attorney-client relationship. Information provided through the Services is general and is not a substitute for advice from an appropriately licensed professional familiar with your facts.

7. User Responsibilities

  1. Accuracy of Information: You are responsible for ensuring that any information you provide to us is accurate, complete, and up to date.
  2. Prohibited Uses: You may not use our Services for unlawful purposes, fraudulent activity, or actions that could harm CorpifyInc, its users, or third parties.

  • Refund Policy: Refund requests must be submitted in writing within fifteen (15) days from the date of payment or service completion, whichever is later. Refunds are evaluated on a case-by-case basis, considering:

  • The reason for the refund request.

Refunds, if approved, will be processed using the original payment method. No refunds will be issued after the fifteen (15) day period, except as required by law.

This license does not apply to private account information, business records, or documents submitted solely so that we can provide a purchased Service. You represent that you have the rights needed to submit the material.

We are not responsible for the content or practices of third-party websites linked to or from our Services. Your interactions with third-party services are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party site you visit.

13. Disclaimers and Limitation of Liability

  1. No Warranty: Our Services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  2. Limited Liability: To the fullest extent permitted by law, CorpifyInc is not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or data loss, business interruption, or reputational harm. Our total liability shall not exceed the amount you paid for the Services during the twelve (12) months preceding the event giving rise to the claim.
  3. Exclusions & Governing Law: Certain jurisdictions do not allow limitations on implied warranties or the exclusion/limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.
  4. Non-Waivable Liability: Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
  5. No Guarantee of Results: We disclaim liability for any failure by a government agency or third party to process or approve your business formation or filings, or for any commercial outcomes derived from your use of our Services.

14. Indemnification

You agree to indemnify and hold harmless CorpifyInc, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms.
  • Your use or misuse of the Services.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any content you submit to the Services.

15. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Wyoming, without regard to conflict-of-law principles, except that mandatory consumer protections applicable in your place of residence remain unaffected.
  • Mandatory Arbitration: Any dispute shall be resolved by binding arbitration in the jurisdiction where CorpifyInc is located, unless prohibited by applicable law. By agreeing to arbitration, you understand you are waiving certain rights, including the right to a jury trial.
  • No Class Actions: Disputes must be resolved on an individual basis. You waive any right to bring a class action lawsuit or participate in a class-wide arbitration. If applicable law renders this class action waiver unenforceable, then this waiver shall be severable to the minimum extent necessary.
  • Exceptions: Either party may seek injunctive or equitable relief for certain claims (e.g., intellectual property infringement) in a court of competent jurisdiction.

16. Force Majeure

We are not responsible for failure to perform due to circumstances beyond our control, including but not limited to natural disasters, government actions, war, terrorism, labor disputes, or cyberattacks that make performance impracticable.

17. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or engage in harmful conduct. Termination will not limit our other rights or remedies.

  1. Entire Agreement: These Terms constitute the entire agreement between you and CorpifyInc regarding the Services, superseding any prior agreements.
  2. Severability: If any provision is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.
  3. Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
  4. Assignment: You may not transfer or assign these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

If you believe that any content on our Services infringes your copyright, please notify us in writing with the following information:
